Are unlimited NDAs permissible?

Generally not. Contractual confidentiality should be limited in time (customary: 2–5 years after the contract ends), otherwise it risks being contrary to public policy (Sittenwidrigkeit).

What about contractual penalties?

They must be proportionate. Lump sums above €50,000 or without reference to proof of damage are often invalid (§ 307 BGB).

Do I need a place of jurisdiction clause?

Recommended: your place of residence or business; otherwise you may have to litigate at the other party's seat.
